STANDARD TERMS AND CONDITIONS OF PURCHASE

1. Acceptance of Terms
   By placing a purchase order with Alwazzab Group مجموعة الوزاب, the client explicitly waives its own standard terms and conditions, even if such terms were established after these terms and conditions of purchase. Any deviations from these terms must be expressly agreed upon in advance, in writing, to be valid.
2. Payment Terms
   All purchase orders issued by Alwazzab Group مجموعة الوزاب are payable within 21 working days of the invoice date unless an alternative payment timeframe is specified on the invoice or purchase order. In the event of non-payment by the due date, Alwazzab Group مجموعة الوزاب reserves the right to charge interest at a fixed rate of 10% on the outstanding amount. Additionally, Alwazzab Group مجموعة الوزاب is authorized to suspend any further deliveries or services without prior notice in the event of late payment.
3. Debt Recovery
   If a payment remains outstanding more than sixty (60) days after the due date, Alwazzab Group مجموعة الوزاب reserves the right to employ the services of a debt recovery company. All legal expenses and costs incurred in this process will be the responsibility of the client.
4. Withholding Tax
   In accordance with the internal legislation of certain countries, withholding tax may be applied to the amount of the purchase order. The client is responsible for paying any withholding tax to the relevant tax authorities. Under no circumstances will Alwazzab Group مجموعة الوزاب assume responsibility for costs related to a country's legislation. The full amount of the purchase order will remain due to Alwazzab Group مجموعة الوزاب, excluding any such legislative costs.
5. Delivery and Performance
   Alwazzab Group مجموعة الوزاب will make reasonable efforts to fulfill purchase orders and deliver goods or services within the agreed timeframes. However, none of its obligations should be interpreted as an obligation to achieve specific results. Alwazzab Group مجموعة الوزاب will not be liable to appear as a third party in any claims for damages filed against the client by an end consumer.
6. Claims and Notifications
   To be considered valid, any claims relating to a purchase order must be communicated to Alwazzab Group مجموعة الوزاب via a letter sent by recorded delivery to its registered office within 8 days of the delivery of goods or provision of services.
7. Governing Law
   All purchase orders and related contractual relations will be governed exclusively by the laws of Saudi Arabia.
